1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of the website be-genius.com (the "Site"), operated by Be Genius ("Be Genius", "we", "us"), with offices at Av. México 359, Manzanastitla, Cuajimalpa de Morelos, 05270 Ciudad de México, CDMX, Mexico. By accessing or using the Site you agree to be bound by these Terms. If you do not agree, do not use the Site.

2. The Site and our services

The Site describes our design, automation, AI and software-development services and is provided for general information purposes only. Nothing on the Site constitutes an offer capable of acceptance, a binding quotation, or a contract for services. Any engagement of Be Genius for professional services is governed exclusively by a separately executed proposal, statement of work or master services agreement, whose terms prevail over these Terms with respect to that engagement — including all matters of scope, fees, warranties, intellectual property in deliverables, and liability.

3. Intellectual property

The Site and its content — including text, graphics, logos, the Be Genius name and spark mark, page designs, animations and code — are owned by or licensed to Be Genius and are protected by copyright, trademark and other intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for personal or internal business evaluation purposes. No other right or license is granted. You may not copy, reproduce, scrape at scale, republish, sell or create derivative works from the Site's content without our prior written consent.

4. Acceptable use

• Do not use the Site in any way that violates applicable law or regulation.
• Do not attempt to gain unauthorized access to the Site, its infrastructure, or related systems.
• Do not introduce malware, or use the Site to transmit unsolicited commercial communications.
• Do not interfere with or disrupt the Site's operation, or impose an unreasonable load on it.
• Do not misrepresent your affiliation with Be Genius or use our marks without permission.

We may suspend or terminate access to the Site at our discretion for conduct that violates these Terms.

5. Third-party sites and trademarks

The Site links to third-party websites (for example, client sites we feature in our portfolio). We do not control and are not responsible for their content or practices; a link is not an endorsement. Third-party product and company names referenced on the Site — including Salesforce, HubSpot, SAP, Oracle, NetSuite, Microsoft Dynamics 365, Zoho, Pipedrive, monday.com and Odoo — are trademarks of their respective owners. Such references are nominative, made solely to identify the products discussed; Be Genius is independent and is not affiliated with, endorsed by or sponsored by any of those companies.

6. Disclaimers

The Site and its content are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. In particular:

• Cost-savings figures on the Site (for example, "up to $600K USD a year") are directional illustrations based on generalized examples of enterprise software spend. They are not quotations, guarantees, or predictions of results for any specific organization. Your actual costs and savings depend on your circumstances.
• Descriptions of third-party products reflect commonly reported user experiences and publicly available information at the time of writing, offered as opinion and commentary; verify current facts with the vendors.
• Nothing on the Site is professional, legal, financial, accounting or tax advice. Consult qualified advisors before making decisions.

7. Limitation of liability

To the maximum extent permitted by applicable law, Be Genius and its principals, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or related to your use of (or inability to use) the Site, even if advised of the possibility of such damages. To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Site shall not exceed one hundred U.S. dollars (USD $100). Nothing in these Terms excludes liability that cannot be excluded under applicable law.

8. Indemnification

You agree to indemnify and hold harmless Be Genius from and against claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms or your misuse of the Site.

9. Governing law and jurisdiction

These Terms are governed by the laws of Mexico. Any dispute arising out of or relating to these Terms or the Site shall be submitted to the competent courts of Mexico City (Ciudad de México), Mexico, and you waive any other jurisdiction that may correspond to you by reason of your present or future domicile.

10. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above reflects the current version, which takes effect upon posting. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

11. Severability; entire agreement

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Be Genius regarding use of the Site (client engagements remain governed by their separate contracts).
